Terms of service

These terms govern the contracting and use of Holdesk, the booking and management system for accommodation businesses provided by APLICACIONES SAAS IBERICA, S.L., NIF B93773620, with registered office at Avenida Cañada de los Fenicios, Aldea 5, Casa 24, 18150 Gójar (Granada), España (hereinafter, "Holdesk").
Who it is for. Holdesk is contracted by businesses and professionals for their accommodation activity. It is not a service aimed at consumers, and therefore these terms do not include the right of withdrawal or the other guarantees that apply to contracting with consumers.
1. Purpose
Holdesk grants the client the use of a cloud platform that includes an embeddable booking engine, a management dashboard, calendar and availability, rates and extras, online check-in and traveller reporting, invoicing, guest messaging, reports and API access.
This is a contract for the provision of a service, not a sale of software: the client does not acquire the program and does not receive its source code.
2. Sign-up and account
Sign-up is formalised after prior contact with Holdesk. The client provides its identifying and tax details and appoints a person responsible for the account.
The client is responsible for safeguarding its credentials and for the activity carried out with them, and must report any unauthorised access without delay. It may create users for its team and assign them permissions, and is answerable for the use they make of them.
3. Price and payment
The price is that of the package contracted, according to the number of properties managed. All published prices are stated exclusive of VAT, which is added on the invoice at the rate in force.
The fee is periodic and is paid in advance. Under the annual option, the discount in force at the time of contracting applies. All three packages include the same features: the only thing that varies is the number of properties.
Non-payment of a fee entitles Holdesk to suspend access to the dashboard after notifying the client. Suspension does not delete data.
4. Term, package changes and cancellation
There is no minimum term. The contract renews for equal periods unless the client gives notice of cancellation before the start of the next period.
The client may change package at any time; the change takes effect in the next billing period.
On cancellation, the client may export its data. Holdesk keeps it for 30 days in case the cancellation needs to be reversed, and then deletes or anonymises it, except for data it must retain by law (invoicing).
5. Client's obligations
In addition to paying the price, the client undertakes to:
- Use the platform in accordance with the law and these terms, and not put it to unlawful purposes.
- Be truthful in the information it publishes: prices, availability, booking conditions and cancellation policy.
- Meet its own obligations towards guests: pre-contractual information, contracting terms, invoicing, traveller registration and data protection. Holdesk supplies the tools; the party contracting with the guest is the property.
- Hold the rights to the content it uploads (logos, photographs, texts) and answer for third-party claims arising from it.
- Not resell or transfer access to third parties outside its organisation without authorisation.
- Not reverse-engineer the platform, attempt to access other clients' data, or subject it to penetration testing without written permission.
6. Relationship with the guest
The accommodation contract is entered into between the guest and the client. Holdesk is not a party to it, does not sell accommodation and is not answerable for availability, price, the condition of the premises or performance of the booking.
When the client enables card payments, the money goes into its own account through its Redsys gateway: Holdesk does not charge the guest and does not hold funds.
7. Availability and support
Holdesk works to keep the service continuously available, but does not guarantee uninterrupted availability. It may carry out maintenance downtime, giving notice in advance whenever possible and aiming for the quietest time slots.
Support is provided through the channels Holdesk indicates from time to time, during business hours.
8. Intellectual property
The platform, its code, its design and its documentation are the property of Holdesk. The contract grants the client a non-exclusive, non-transferable right of use, limited to the duration of the service.
The data and content the client enters remain its own. Holdesk acquires no rights over them and processes them only in order to provide the service.
9. Data protection
In managing bookings, guests and travellers, the client is the data controller and Holdesk is the processor, within the meaning of article 28 of Regulation (EU) 2016/679.
The data processing agreement forms an inseparable part of these terms and is entered into together with them. It governs, as a minimum: the subject matter and duration, the nature and purpose, the types of data and categories of data subjects, the controller's instructions, the duty of confidentiality, security measures, the arrangements for sub-processors, assistance to the controller with data subject rights and personal data breaches, and what happens to the data at the end.
Holdesk does not process guest data for its own purposes, does not pass it to third parties, and does not use it to train systems or to build derivative products.
The processing of the client's own data — its account, its billing — is governed by the privacy policy, in which Holdesk acts as controller.
10. Confidentiality
Each party shall keep confidential the other's information to which it has access by reason of the contract, for its duration and the following three years.
11. Liability
Holdesk is liable for damage it causes by breaching its obligations, in accordance with the law. Save for wilful misconduct or gross negligence, and save for damage the law does not permit to be limited, Holdesk's liability is limited to the amount of the fees paid by the client in the twelve months preceding the event giving rise to it.
Holdesk is not liable for loss of profit or for losses arising from the client's commercial decisions, nor for failures of third-party services beyond its control (external channels, the bank's gateway, government platforms).
12. Changes to these terms
Holdesk may change these terms and its prices by giving the client thirty days' notice. If the client does not agree, it may cancel before the change takes effect, without penalty.
13. Governing law and jurisdiction
This contract is governed by Spanish law. For any dispute, the parties submit to the courts and tribunals of Granada, expressly waiving any other jurisdiction to which they might be entitled.
